Your first question is a little confusing. If you have benefits under your husband's policy, then true - you probably do not need to elect benefits through your potential employer. Here is the confusing part: If you do not elect coverage through YOUR employer, then you will not be able to receive COBRA. COBRA benefits are simply continuation of group coverage for a specified period of time. If you didn't elect to take benefits, then your employer is not required to offer you COBRA.
Your second question: Yes - In most cases, COBRA applies to company's with 20 or more employees. There are some state laws (depending on where you live) that can provide what they call "mini COBRA" benefits.
